both exercise and diet control r requrid 4 fitness but it also depends on ur age as well

No u cant achieve it only by workout u need proper diet and exercise.

"Workout" is a session of physical exercise or training which can be achieved by go to Gym.
"Exercise" Activity required physical effort to improve health; it can be mental or spiritual as
well (Yoga) so its excluded by "workout".

i think work out is just a new term used 4 exercise otherwise both r same,,,anyway diet and exercise should b given due attention for fitness but depending upon ur age

I think you need to go to gym if want to be in shape, because only the specialised equipment and free weights and workouts can focus upon certain part of your body to get it into appropriate shape, although physical strength and general physical health can be achieved by normal subroutines, running, cycling, swimming etc. for which you dont necessarily need to go to gym.
As others said there are a couple of more things you need to take care of while exercising for some particular goals.
1) Proper workout routines(theres alot of information available on internet for all kinds of goals e.g. losing weight, gaining weight, gaining physical strength, toning etc)
2) Proper diet (full of nutrition, protein as a major part)
3) A nice sleep (should give your body good amount of rest)
